The following replaces the transaction in own shares announcement released on
the 14th June 2005 at 17.08 under RNS number 5714N.



The prices paid per share were 385.5p and not 385p as previously quoted.

Croda International PLC ('Croda') announces that it has purchased the following
number of its ordinary shares of £0.10 each on the London Stock Exchange via UBS
Investment Bank.

Number of ordinary shares purchased:             450,000



Highest price paid per share:                    385.5p



Lowest price paid per share:                     385.5p



Volume weighted average price per share:         385.5p



Croda intends to hold the purchased shares in treasury.



Following the purchase of these shares, Croda holds 4,262,589 of its ordinary
shares in treasury and has 132,006,255 ordinary shares in issue (excluding
treasury shares).
