Extraordinary General Meeting ('EGM')
Voting and Proxy Results
At today's Annual General Meeting all resolutions put to the Meeting were duly
passed by shareholders of James Cropper PLC. Proxy voting results relating to
Resolutions are shown below in Table A.
Shareholders also approved at an Extraordinary General Meeting held after the
AGM a special resolution to approve the cancellation of the listing of the
Company's ordinary shares on the Official List of the UK Listing Authority and
trading of such shares on the London Stock Exchange's market for listed
securities and to request the Directors of the Company to apply for admission of
the Group's ordinary shares of 25 pence each to be traded on the AIM market of
the London Stock Exchange. Proxy voting results are shown on Table B below.
It is expected that the issued Ordinary Shares in the Group will be admitted to
trading on AIM and that dealings will commence at or shortly after 8am on Friday
31 August 2007. The listing of the issued Ordinary Shares on the Official List
will be cancelled, and dealings on the London Stock Exchange's market for listed
securities will cease, at the same time.
James Cropper, Chairman, James Cropper PLC said:
'The Board believes that AIM, which has proved to be a successful and robust
trading platform, is a more appropriate market for the Company's shares.
'AIM also provides, in our opinion, a more flexible and cost-effective
environment for a Company of our size and stage of development which will enable
the business to agree and execute transactions more quickly should any
acquisition or other development opportunities arise in the future.
'We see ourselves as continuing to be attractive to specialist institutional
investors while the AIM tax regime will, we believe, also make us more
attractive to AIM specific funds as well as to retail investors.'
