Directors' interests

The Company notifies that on 16 July 2015 the Trustees of James Cropper PLC Share Incentive Plan ("SIP") transferred  ownership of 37,745 ordinary shares of 25p each ("Shares") in the Company to the participants of the SIP Scheme.

The Shares were awarded to the participants on 16 July 2010 at a price of 156.1p per share with the beneficial rights to participants recognised immediately upon award.

The SIP Trust holds the shares for a 5 year period from award and then transfers ownership to the participants.

The above transfer includes the following directors of the Company:

I M Maddock   545 shares

M Thompson   545 shares

P J Willink        545 shares

The total interests of the Company's directors in Shares remain unchanged.
