The Company was notified on 20 November 2018 that, on the same day, the Trustees of James Cropper Plc Share Incentive Plan ("JC SIP Plan") transferred 429 ordinary shares of 25p each ("Shares") in the Company to two participants of the SIP Scheme.

The Shares were awarded to the participants on:

The SIP trust holds Shares for a 5-year period from the date of the award and then transfers the Shares to the participants. The Shares have been transferred to the participants earlier as, under the Scheme rules, the participants are deemed to be leavers.

As a result of the above transactions, the JC SIP Plan is interested in 142,004 Shares, representing 1.5% of the issued share capital of the Company.

As a result of the change in interest of the JC SIP Plan, the non-beneficial interest of David Nicholson (PDMR) was decreased by 429 Shares.
