                            Director's Shareholding


The Company was informed on 4 September 2003 that on the same day Mr John
Denman, Finance Director of the Company, sold 2,198 ordinary 25p shares in the
Company ('Ordinary Shares') at 183p per Ordinary Share. Following this
transaction, Mr Denman has a beneficial interest in 1,610 Ordinary Shares,
representing 0.02 per cent. of the Company's issued Ordinary Share capital.
