CATERPILLAR INC. FILES FORM 8-K

PEORIA, Ill.- 20 August 2012 - Caterpillar Inc. (NYSE: CAT / NYSE Euronext: CATR / LSE: CTA)  informs its stockholders that today, a Form 8-K has been filed with the U.S. Securities and Exchange Commission ("SEC").  The Form 8-K filed in respect of Caterpillar can be found on the SEC Internet site (www.sec.gov). 

On August 15, 2012, Caterpillar issued $801,649,000 aggregate principal amount of 3.803% Debentures due 2042 (the "New Debentures") in connection with the early settlement of its previously announced offers to exchange certain of its outstanding series of debentures and senior notes for a combination of New Debentures and cash. The New Debentures were issued in reliance on exemptions from the registration requirements of the Securities Act of 1933, as amended.

In connection with the issuance of the New Debentures, Caterpillar entered into a Registration Rights Agreement with the lead dealer managers named therein, dated August 15, 2012, which will give holders of the New Debentures certain exchange and registration rights with respect to the New Debentures.

Caterpillar files electronically with the SEC required reports on Form 8-K, Form 10-Q, Form 10-K and Form 11-K; proxy materials; ownership reports for insiders as required by Section 16(a) of the U.S. Securities Exchange Act of 1934, as amended; and registration statements on Forms S-3 and S-8, as necessary; and other forms or reports, as required.
