RESULT OF OFFER FOR SUBSCRIPTION

We refer to the offer for subscription of up to 20 million Income Shares and up to 20 million Growth Shares (together, the "Shares") which F&C Managed Portfolio Trust plc (the "Company") first announced on 16 January 2012. We also refer to our previous announcement on 2 March 2012, in which we announced that applications had been received for 4,807,744 Income Shares and 7,844,276 Growth Shares.

For the avoidance of doubt, the offer for subscription closed on 29 February 2012 and as announced on 7 March 2012 the total number of Shares issued under the offer for subscription were 4,807,744 Income Shares and 7,844,276 Growth Shares.
