ISSUE OF EQUITY

The Board of Investors Capital Trust plc announces that on 21 August 2009 the Company sold from treasury 100,000 B shares at a price of 71.5p per B share and 75,000 B shares at a price of 72p per B share.

Following this sale the Company's issued share capital consists of 102,067,144 A shares and 32,076,703 B shares, of which 6,489,000 A shares and 80,000 B shares are held in treasury. Therefore the total number of shares with voting rights in Investors Capital Trust plc is 95,578,144 A shares and 31,996,703 B shares.

The above figures (95,578,144 and 31,996,703) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Investors Capital Trust plc under the FSA's Disclosure and Transparency Rules.
