ISSUE OF EQUITY

The Board of Investors Capital Trust plc announces that on 28 March 2014 the Company sold from treasury 130,000 B shares at a price of 102.40p per B share.

Following this transaction the Company's issued share capital consists of 102,067,144 A shares and 32,076,703 B shares, of which 10,789,000 A shares and nil B shares are held in treasury.  Therefore the total number of shares with voting rights in Investors Capital Trust plc is 91,278,144 A shares and 32,076,703 B shares.

The above figures (91,278,144 and 32,076,703) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Investors Capital Trust plc under the FCA's Disclosure and Transparency Rules.
