TOTAL VOTING RIGHTS

In accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6, F&C UK High Income Trust plc ("the Company") advises that as at 28 February 2017 the Company's issued share capital consists of 102,067,144 A shares and 32,076,703 B shares, of which 14,339,000 A shares and 1,100,000 B shares are held in treasury.

Therefore the total number of shares with voting rights in F&C UK High Income Trust plc is 87,728,144 A shares and 30,976,703 B shares.

The above figures (87,728,144 A shares and 30,976,703 B shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, F&C UK High Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
