                    The Carphone Warehouse Group PLC ('CPW')

                               Listing of Shares


CPW has made an application to the UK Listing Authority for 7,230,721 Ordinary
Shares of 0.1 pence each to be admitted to the Official List and for them to be
admitted to trading on the London Stock Exchange.



The application comprises a block listing of 7,230,721 shares under CPW's
Company Share Option Plan.



It is expected that admission of the shares will take place and dealings will
commence on 23rd March 2004.
