The Carphone Warehouse Group PLC ('Company')

Listing of Shares

The Company has made an application to the UK Listing Authority for 3,575,410
Ordinary Shares of 0.1 pence each to be admitted to the Official List and for
them to be admitted to trading on the London Stock Exchange.

The application comprises a blocklisting of 2,000,000 Ordinary Shares under the
Company's Company Share Option Plan, 1,498,217 Ordinary Shares under the
Company's Group Sharesave Scheme and 77,193 Ordinary Shares under the Company's
Annual Deferred Bonus Plan.

It is expected that admission of the shares will take place and dealings will
commence on 8th June 2006.

This is a formal blocklisting to cover any future potential exercise of share
options under the above schemes.
