The Carphone Warehouse Group PLC ('Company')
Director/PDMR Shareholding
The Company received notification on 2 April 2008, from David Goldie, an
executive director of the Company, that on 2 April 2008 he transferred 795,460
Ordinary Shares of 0.1 pence each (the 'Shares') in the Company by way of gift
for nil consideration to the David Goldie 2008 Trust (the 'Trust').
This transfer was effected as part of tax planning implemented because of
changes to capital gains tax effective from 6 April 2008.
The Trust now holds 795,460 Ordinary Shares in the Company representing
approximately 0.09% of the current issued share capital of the Company.
Mr Goldie and his wife, Deborah Goldie are the only beneficiaries of the Trust.
On 29 July 2008, the Shares will become held under the terms of the Trust for Mr
Goldie absolutely.
The above transfer does not affect the total interest of Mr Goldie and his
connected party. After this transfer Mr Goldie continues to hold an interest in
823,495 shares in the Company, representing approximately 0.09% of the issued
share capital of the Company.
