                               Interest in Shares


The Company received notice that on 24 September 2002 Jim Dale a director of the
Company pledged 150,000 ordinary shares of 0.1p each in the Company in favour of
Close Bank (Isle of Man) Limited as security for a loan ('Pledge Shares'). There
is no change in his overall shareholding in the Company which remains at 150,500
Ordinary Shares, including the Pledge Shares.
