The Carphone Warehouse Group PLC ('Company')

Director Shareholding

The Company gives notice that David Ross, Deputy Chairman, has today sold 15
million shares in the Company at 147 pence per share.  He has also agreed not to
sell any further shares for a period of 12 months from today's date except with
the prior consent of the Company's Board of Directors.

After this sale, David Ross now holds 199, 840, 759 shares representing
approximately 22.86% of the issued share capital of the Company.
