The Carphone Warehouse Group PLC ('Company')

Director Shareholding

Charles Dunstone, Chief Executive Officer, transferred 1,500,000 shares in the
Company by way of gift into The Charles Dunstone Charitable Trust on 7th
December 2004.  He is not a trustee or beneficiary of such trust.

As a result of this transfer, Charles Dunstone now holds 304,578,535 shares
representing approximately 34.80% of the issued share capital of the Company.
