The Carphone Warehouse Group PLC ('Company')

Director Shareholding


David Ross a director of the Company, sold 6 million shares in the Company at
172 pence per share on Friday 17th June 2005.  The Company's Employee Share
Ownership Trust ('EBT') purchased 5 million of these shares at such price per
share.

After such sale, David Ross held 193,840,759 shares representing approximately
22.09% of the issued share capital of the Company.  David Ross has no current
intention to sell any further shares.

Executive directors of the Company are classed as being discretionary
beneficiaries of the EBT and are consequently considered to be interested in
such shares held by the EBT.  However, such shares are not presently being
awarded by the EBT under any scheme or otherwise to any beneficiary and any
future specific award to any specific executive director would be announced
separately at the time of such award.  The EBT has no intention to buy any
further shares in the current financial year.
