Appointment of a Deputy Chairman and a Senior Independent Director
Dixons Carphone plc (the "Company") is pleased to announce the appointments of Lord Livingston of Parkhead as Deputy Chairman of the Board and Tony DeNunzio CBE as Senior Independent Director, both appointments are with effect from today. Lord Livingston will chair the Remuneration Committee and become a member of the Nominations Committee. Tony DeNunzio CBE will become a member of the Remuneration and Nominations Committees.
Ian has previously held the position of Chief Executive Officer at BT Group plc from 2008 to 2013, prior to that he was Chief Executive Officer, BT Retail and Group Chief Financial Officer of BT. From 2013 to May 2015, Ian was Minister of State for Trade and Investment and he is currently a Non-Executive Director of Celtic plc and Belmond Ltd. Ian also served as Chief Financial Officer of Dixons Group plc between 1996 and 2002, having served in a number of roles over more than a decade in the company.
Tony was previously President and Chief Executive Officer of Asda/Walmart UK from 2002 to 2005. Tony is Non-Executive Chairman of Pets at Home Group Plc, Non-Executive Director of PrimaPrix SL and Senior Adviser at Kohlberg, Kravis, Roberts & Co L.P. He was previously Non-Executive Director of Alliance Boots GmbH and Chairman of Maxeda Retail Group BV.
There are no matters in connection with these appointments to be disclosed under section 9.6.13 of the Listing Rules of the UK Listing Authority.
The Company also announces that Roger Taylor will stand down as Deputy Chairman of the Board with effect from today. Roger has been Deputy Chairman since July 2013 and prior to this he was Chief Executive Officer of Carphone Warehouse plc. John Gildersleeve also steps down with effect from today. John has been a Non-Executive Director of the Company for 15 years and most recently was Chairman of the Remuneration Committee.

Roger has been an integral part of the development and success of Carphone Warehouse for over 17 years, while John has been in various vital non-executive roles for over 15 years. Both have made very significant contributions to the Company over many years and I would like to thank them most sincerely for everything that they have done. I know that they will remain friends and counsellors to us in the future."
