The Carphone Warehouse Group PLC ('Company')
Interest in Shares
The Company received notice on 22 April 2002 pursuant to Section 198 of The
Companies Act 1985 that on 18 April 2002 following an approach by an
institutional investor Christopher Guy Johnson sold 15 million shares in the
capital of the Company (being approximately 1.8% of the issued share capital) so
that his total shareholding in the Company is now 77,008,611 shares,
representing approximately 9.22% of the total issued share capital of the
Company.
The Board of the Company consented to such sale pursuant to the agreement it has
with Christopher Guy Johnson regarding the sale by him of shares and it has been
further agreed that he will not sell more than 5 million shares per year from 12
July 2002 until 12 July 2007 except with the Board's prior consent.
