The Carphone Warehouse Group PLC ('Company')
Interest in Shares
The Company received notice on 26 August 2003 from Christopher Guy Johnson that
on 21 August 2003 he sold 2.5 million shares in the capital of the Company and
that on 22 August 2003 he sold a further 2.5 million shares.
Pursuant to his arrangement with the Company Mr Johnson is entitled to sell 5
million shares each year from 12 July 2002 until 12 July 2007 without the
Company's consent. The above sales therefore represent the 5 million shares he
is entitled to sell for the year 12 July 2003 until 12 July 2004.
Mr Johnson has also notified the Company pursuant to Section 198 of The
Companies Act 1985 that he is now interested in 66,008,611 shares, representing
approximately 7.562% of the total issued share capital of the Company.
