                    The Carphone Warehouse Group PLC ('CPW')

                               Listing of Shares


CPW has made an application to the UK Listing Authority for 40,787,113 Ordinary
Shares of 0.1 pence each to be admitted to the Official List and for them to be
admitted to trading on the London Stock Exchange.

The application comprises the following:

  • A block listing of 25,204,057 shares under CPW's Executive Incentive
    Scheme.
  • A block listing of 594,250 shares under CPW's Millennium Share Award
    Scheme.
  • 12,750,000 shares as a result of options exercised pursuant to an option
    agreement entered into before the floatation of CPW.
  • 2,238,806 shares pursuant to the acquisition of the shares in Papertimes
    Limited announced on 21st December 2001.

It is expected that admission of the shares will take place and dealings will
commence on 15th March 2002.
