                    The Carphone Warehouse Group PLC ('CPW')

                               Listing of Shares


CPW has made an application to the UK Listing Authority for 33,557,047 Ordinary
Shares of 0.1 pence each in the capital of CPW (the 'Shares') allotted pursuant
to the acquisition announced on the 6th November 2002 to be listed and for them
to be admitted to trading on the London Stock Exchange. It is expected that
admission of the Shares will take place and dealings will commence on 11th
November 2002.
