Adjourned Euro Share Class Meeting Held on 2 May 2014

CVC Credit Partners European Opportunities Limited announces that at the Adjourned Euro Share Class Meeting held earlier today the resolution proposed was duly passed, this resolution was an extraordinary resolution as follows:

Resolution 1 - that, the amended form of the Memorandum and Articles of Association produced to the meeting and initialled by the Chairman of the meeting for the purpose of identification be and is hereby adopted as the Memorandum and Articles of Association of the Company in substitution for, and to the exclusion of, the existing Memorandum and Articles of Association.
