Exercise of Share Options

CVS, one of the UK's leading providers of veterinary services, announces that on 8 December 2011 two of its directors Simon Innes (Chief Executive) and Paul Coxon (Finance Director) together with Brian Pound a director of CVS (UK) Limited (a wholly owned subsidiary of CVS Group plc) exercised options at 0.2 pence per share over 113,793, 50,069 and 31,034 ordinary shares of 0.2 pence each in the Company ("Ordinary Shares"), respectively, under the CVS Group Long Term Incentive Plan 2008/2011. Notification was received by the Company yesterday.

Application will be made for the new Ordinary Shares, which rank pari passu in all respects with the Company's existing Ordinary Shares, to be admitted to trading on AIM which is expected to occur on or about 15 December 2011.

On admission, the Company's issued share capital will be 56,689,992 ordinary shares of 0.2 pence each. The total number of voting rights in the Company will be 56,689,992. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

Following the exercise of these options, Simon Innes, a director of the Company, will be interested in 1,160,268 Ordinary Shares in the Company, representing an interest of 2.0 per cent in the total voting rights of the Company.

Following the exercise of these options, Paul Coxon, a director of the Company, will be interested in 335,069 Ordinary Shares in the Company representing an interest of 0.6 per cent in the total voting rights of the Company.

Following the exercise of these options, Brian Pound, a director of CVS (UK) Limited, will be interested in 922,334 Ordinary Shares in the Company representing an interest of 1.6 per cent in the total voting rights of the Company.
