Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them

Darktrace announces that two Persons Discharging Managerial Responsibilities ("PDMR") have received the number of Darktrace shares as set out below, following the vesting of awards granted under the AIP on 6 May 2021, as previously disclosed in the Darktrace Annual Report 2021. The number of shares transferred to these two PDMRs was on a net settlement basis.

On 3 August 2022, in respect of the total vested awards for 1,406,330 ordinary shares, 727,775 ordinary shares in Darktrace were transferred from the Darktrace employee benefit trust ("EBT") to Poppy Gustafsson, CEO, based on an aggregate price of 360 pence per share, on a net settlement basis.

On 3 August 2022 in respect of the total vested awards for 1,049,046 ordinary shares, 542,881 ordinary shares in Darktrace were transferred from the EBT to Catherine Graham, CFO, based on an aggregate price of 360 pence per share, on a net settlement basis.
