ANNOUNCEMENT
The Company announces that the Annual General Meeting, the Extraordinary General
Meeting, the H Class Meeting and the Domestic Class Meeting of the Company will
be postponed and will be held on 10 July 2003.
The board of directors (the 'Board of Directors') of Beijing Datang Power
Generation Company Limited (the 'Company') hereby announces that while the
Company originally scheduled to hold its annual general meeting for year 2002
(the 'Annual General Meeting') on 30 June 2003, the Company recently received a
notice from China Datang Corporation, a shareholder of the Company holding
approximately 35.43% shareholdings in the Company, that it would propose to the
Annual General Meeting a change in the members of the Board of Directors.
However, the details of the proposed new director(s) are still being prepared.
Therefore, the Board of Directors has decided to postpone the Annual General
Meeting for ten days, i.e. to hold the Annual General Meeting on 10 July 2003 at
the originally scheduled venue and at the originally scheduled time to consider
and pass the resolutions of the Annual General Meeting as announced in the
notice of the Annual General Meeting issued by the Company on 8 May 2003 (the
'Notice'), including the consideration and approval of any proposal put forward
by shareholders of the Company (the 'Shareholders') holding of 5% or more of the
total number of shares of the Company with voting rights i.e. the
above-mentioned proposal of change in members of the Board of Directors.
Pursuant to the Notice, the Shareholders whose names were registered in the
register of members of the Company on 1 June 2003 shall have the right to attend
and vote at the forthcoming Annual General Meeting; and proxy forms from those
Shareholders who have appointed proxies to vote on their behalf shall remain
valid.
As the Annual General Meeting is postponed to be held on 10 July 2003, the
profit distribution plan originally scheduled to be considered and approved at
the Annual General Meeting on 30 June 2003 will be implemented after its
approval at the Annual General Meeting to be convened on 10 July 2003.
Shareholders who have lodged the share transfer documents prior to 4:00 p.m. on
30 May 2003 as set out in the Notice are still qualified for the final dividend.
With respect to the Extraordinary General Meeting, the H Class Meeting and the
Domestic Class Meeting originally scheduled to be held after the Annual General
Meeting on 30 June 2003, as the participating shareholders will be the same as
those attending the Annual General Meeting, the Board of Directors therefore has
decided to postpone the Extraordinary General Meeting, the H Class Meeting and
the Domestic Class Meeting to 10 July 2003. The respective time, venue and
resolutions for consideration shall remain unchanged. As stated in the
respective notices of these meetings, those Shareholders whose names were
registered in the register of members of the Company on 1 June 2003 shall have
the right to attend and vote at these meetings; and proxy forms from those
Shareholders who have appointed proxies to vote on their behalf shall remain
valid.
The Company apologises for any inconvenience caused due to the postponement of
the Annual General Meeting. Such postponement breaches the Company's articles of
association and therefore paragraph 47 of the Listing Agreement and, as a
result, the Stock Exchange has stated that it will reserve its rights to take
action against the Company.
