Resolutions Passed at the Annual General Meeting for the Year
1999
The annual general meeting (the 'Annual General Meeting') of
Beijing Datang Power Generation Company Limited (the
'Company') for the year 1999 was held at the Company's
Conference Room at 8/F, No 482 Guanganmennei Avenue, Xuan Wu
District, Beijing, the People's Republic of China (the 'PRC')
on 28th April, 2000. Shareholders or proxies representing
4,277,536,920 shares with voting rights, representing 82.85%
of total of 5,162,849,000 shares of the Company attended the
Annual General Meeting. The meeting was validly convened in
compliance with the requirements of Company Law of the PRC and
the Articles of Association of the Company.
At the Annual General Meeting, the following resolutions were
considered and approved:
Resolutions passed as Ordinary Resolutions:
1. the report of the Board of Directors of the Company for
the year 1999 was approved;
2. the report of the Supervisory Committee of the Company
for the year 1999 was approved;
3. the financial report of the Company for the year 1999 was
approved;
4. the profit distribution plan of the Company for the year
1999 was approved;
5. the re-appointment of Arthur Andersen Hua Qiang, PRC as
the Company's domestic auditors and Arthur Andersen & Co.,
Hong Kong as the Company's international auditors for a term
up to the holding of the annual general meeting for the year
2000 was approved, and authorised the Board of Directors to
determine their remuneration;
6. the proposal for the supplementary regulations in
relation to the guidelines pertaining to the remuneration of
the directors and the supervisors was approved;
7. the appointments of Mr Wang Xian Zhou, Mr Yang Jiayi, Mr
Liu Haixia, Mr Ye Yonghui, Mr Zhang Wantuo as the Company's
non-executive directors for a term up to 30th June, 2001 were
respectively approved;
Resolutions passed as Special Resolutions:
1. the Board of Directors was authorised to determine the
issue of new shares of an amount not exceeding 20% of the
total share capital of the Company;
2. the Board of Directors was granted a general mandate to
repurchase the shares of the Company on terms set out in the
notice of the Annual General Meeting.
The shareholders attending the Annual General Meeting also
accepted the resignation of Messrs. Yan Xun, Zheng Changfei,
Zhang Yinfu, Tian Zhiguo, Gao Zhipu and Zhang Zhongwen as
directors of the Company with immediate effect.
