DCC acquires Advent Data Limited
DCC acquires a leading UK distributor of electronic office supplies
DCC plc, the sales, marketing, distribution and business support services group, has acquired Advent Data Limited ("Advent"), a leading distributor of electronic office supplies to a broad range of resellers, retailers and e-tailers in the UK. Advent, based in Elland, near Leeds, has 111 employees.
Advent primarily distributes a broad range of consumables including inkjet and laser print cartridges from suppliers such as Brother, Canon, Dell, Epson, Konica Minolta, Lexmark and Samsung. Advent deals with in excess of 1,000 customers each year including office supplies and stationery companies, internet retailers and general IT resellers. This acquisition complements DCC SerCom's strong market position in Reseller distribution in the UK, through its Micro-P business, and provides an excellent platform for the combined business to grow its market share in this product sector.
Advent's adjusted operating profit for its financial year ended 31 August 2010 was €4.5 million (Stg£3.9 million) on revenues of €150.1 million (Stg£128.9 million). At 31 August 2010, Advent had adjusted net tangible operating assets of €11.9 million (Stg£10.2 million).
DCC has acquired 100% of the share capital of Advent based on an enterprise value of €24.2 million (Stg£20.8 million), inclusive of average net debt of €7.2 million (Stg£6.2 million). The initial cash consideration paid by DCC was €11.9 million (Stg£10.2 million), equivalent to 70% of the equity value (i.e. enterprise value less average net debt). Further cash consideration will be payable up to a maximum of €17.5 million (Stg£15.0 million) based on the trading results for the three periods ending 31 March 2012, 2013 and 2014.
