This deferred allocation is under the De La Rue Deferred Bonus and Matching
Share Plan. The matching allocation of shares will be made at the vesting date
subject to performance testing in accordance with the Rules of the Plan.


An additional award of shares will be released on the vesting date in respect of
deferred shares released equal in value to the amount of dividends which would
have been payable on the deferred shares over the performance period.
