De La Rue plc's Directors' Interests
In order to facilitate the operation of the De La Rue Sharesave Scheme (the
'Scheme'), De La Rue QUEST Limited as trustee of the De La Rue Qualifying
Employee Share Ownership Trust established by Deed on 30th March 2000 (the
'Trust'), subscribed for 91,989 Ordinary Shares in De La Rue plc at 25p per
share on 12 March 2001.
Mr I F R Much and Mr P R Hollingworth, as directors of De La Rue plc, are
potential beneficiaries under the Trust (together with all of the bona fide
employees, former employees and former executive directors of the De La Rue
Group and their associates) and are therefore interested in the De La Rue plc
shares whilst they are held in the Trust by the De La Rue Qualifying Employee
Share Ownership Trust.
