The Company on 23 March 2005 received a letter dated 23 March 2005 from Schroder
Investment Management Limited giving notice that, pursuant to S198 Companies Act
1985 (as amended) by the Disclosure of Interest in Shares (Amendment)
Regulations 1993, their interest in the Ordinary Shares of 25p each of the
Company is as follows:


Schroder Investment Management Limited have an interest in 35,334,989 shares
which are held in portfolios managed by us on a discretionary basis for clients
under investment management agreements.


Included in this figure are:


(i)   12,244,623 shares registered or to be registered in the name of our
      wholly-owned subsidiary nominee company, Schroder Nominees Limited
      (Schroder Nominees),


ii)  7,862,081 shares held in (a) unit trusts(s) operated and managed by an
      affiliated company, Schroder Unit Trusts Limited (SUTL), and registered or
      to be registered in the name of Chase Nominees Limited, and


(iii) 15,228,285 shares neither registered nor to be registered in the name of
      Schroder Nominees. The registration details are shown on the Schedule
      below.


A subsidiary, Schroder Investment Management North America Ltd (SIMNA Ltd), is
managing (a) portfolio(s) on a similar basis holding a further 157,800 shares.
These shares are registered or to be registered in the name of Chase Nominees
Limited.


An affiliated company, Schroder & Co Ltd (S&Co Ltd), is managing a portfolios
holding a further 315,705 shares. These shares are registered or to be
registered in the name of Chase Nominees Limited.


Schroder Investment Management Limited and its subsidiary and affiliated
companies are therefore interested in an overall aggregate of 35,808,494 shares,
representing some 19.44% of the total number of shares in issue, namely
184,193,309.
