De La Rue plc : Repayment of Capital and Scheme of Arrangement
De La Rue announces that at a hearing of the High Court held
today the return of capital and the creation of New De La Rue
plc by a Scheme of Arrangement and the repayment and
cancellation of the preference shares was approved.
Under the proposals, ordinary shareholders will receive 17
ordinary shares in New De La Rue plc and 920p in cash for
every 20 existing ordinary shares. The preference shares are
being repaid at par plus accrued dividends. Accordingly, as
set out below, dealings in existing ordinary and preference De
La Rue shares will cease with effect from the close of
business today. Dealings in New De La Rue ordinary shares
will commence tomorrow at 8.00 am.
Upon implementation of the return of capital, New De La Rue
plc will change its name to De La Rue plc.

New Ordinary Shares credited to CREST accounts 1st February 2000
Payment through bank accounts and CREST 7th February 2000
Despatch of share certificates and cheques 7th February 2000
