                   DECHRA PHARMACEUTICALS PLC (THE 'COMPANY')

                       Holding in the Company - Amendment

The issuer has advised that the following amendments have been made to the
Dechra Pharmaceuticals PLC 'Holding in Company' announcement released under RNS
No: 5392U at 14.27 on 15 April 2002.


In line 2, 'Zurich Scudder Investments, Inc.' replaces 'Zurich Financial
Services and its Group'. In line 1, 'pursuant to section 198 of the Companies
Act 1985' has been added, as has the final sentence 'Zurich Financial Services
Group retains its notifiable interest in the Company'. All other text remains
unchanged. The full amended text is shown below:


The Company received notification pursuant to section 198 of the Companies Act
1985 on 9 April 2002 that Zurich Scudder Investments, Inc. no longer has a
notifiable interest in the Company. This arises from a corporate re-organisation
within the Zurich Financial Services Group such that at 8 April 2002, Zurich
Scudder Investments, Inc. ceased to be a member of the Zurich Financial Services
Group.


Zurich Financial Services Group retains its notifiable interest in the Company.
