Exchange on 1 February 2007 following the merger of the Company and LMS which
was effected by means of a Scheme of Arrangement.

Following their appointment to the Board of the Company, the following directors
notified the Company on 7 February 2007 of their interests in the ordinary

These interests in shares of the Company were acquired on 1 February 2007 as a
result of the scheme of arrangement sanctioned by the Court to give effect to
the merger pursuant to which all shares in LMS were cancelled and former LMS
shareholders received shares in the Company in exchange for their LMS shares.
(1) Includes interests by attribution as a trustee of the Rayne family
charitable trusts and as beneficiary under the Rayne family trusts.
(2) Includes interests held through the London Merchant Securities Share
Incentive Plan and awards of options.
