The company's issued share capital consists of 53,656,492 ordinary shares of 5
pence each with voting rights. No shares are held in Treasury.



Therefore, the total number of voting rights in Derwent Valley Holdings plc, is
53,656,492.



The above figure may be used by shareholders as the denominator for the
calculation by which they will determine if they are required to notify their
interest in, or a change of their interest in, Derwent Valley Holdings plc under
the FSA's Disclosure and Transparency Rules.
