               DFS Furniture Company PLC ('DFS' or 'the Company')

                       Formation of Independent Committee



Following the announcement on 4 March 2004 in relation to a possible offer for
the Company by Graham Kirkham, Executive Chairman, DFS announces that an
independent committee of the Board has been formed to consider this proposal in
more detail.



The members of the independent committee are Michael Blackburn, senior
independent non-executive director, who will chair the committee, together with
Kevin Morley and Malcolm Walker, non-executive directors.



In accordance with the City Code on Takeovers and Mergers, neither Jon Massey
nor Bill Barnes will be a member of the independent committee as a result of the
possibility of continuing executive roles being offered to them by Graham
Kirkham in the event of a successful offer for DFS.
