               DFS Furniture Company PLC ('DFS' or 'the Company')
       Position of the Independent Directors of DFS Furniture Company plc


The Independent Directors of DFS wish to clarify their position following recent
press comment in relation to their intentions in the event that the recommended
Proposals from Full Circle are not approved by the requisite majority of
shareholders at the shareholder meetings to be held on 7 September 2004.

The Independent Directors believe that, if the Proposals are not approved, they
would clearly have to consider carefully their positions as non-executive
directors of DFS.  However, no decisions have yet been taken.  Any decisions
would be made in the light of all of the circumstances at the time, including
the votes tendered at the meetings and the views expressed by all of the
shareholders.

All terms used in this announcement have the same meaning as in the circular to
shareholders dated 14 August 2004.
