Sanction of Capital Reduction


DFS Furniture Company plc ('DFS') announces that earlier today the Court granted an order
confirming the Capital Reduction (the 'Order'), the Court having granted an order approving
the Scheme on 27 October 2004. As set out in the Scheme Document, it is expected that the
Order will be delivered to the Registrar of Companies and registered on 2 November, at which
point the Scheme will become effective.

DFS's shares were suspended from trading with effect from the opening of business today and
it is expected that DFS will be delisted on 3 November 2004.

Any term used but not defined in this announcement is as defined in the scheme document
sent to shareholders on 14 August 2004 (the 'Scheme Document') and the supplemental
scheme circular sent to shareholders on 10 September 2004. All times referred to are London
times unless otherwise stated.
