                         Scheme Becomes Effective


DFS Furniture Company plc ('DFS') announces that the Court order confirming the
Capital Reduction has been delivered to the Registrar of Companies and therefore
the Scheme has become effective.

Any term used but not defined in this announcement is as defined in the scheme
document sent to shareholders on 14 August 2004 (the 'Scheme Document') and the
supplemental scheme circular sent to shareholders on 10 September 2004. All
times referred to are London times unless otherwise stated.
