Diageo plc (the 'Company') announces that it received notification on 12
September 2001 for the purposes of sections 198-208 of the Companies Act 1985
(as amended) (the 'Act') that Barclays PLC ('Barclays') is, as at 5 September
2001, interested in 104,995,820 ordinary shares of 28 101/108 pence each in
the Company ('Ordinary Shares'). This represents 3.08% of the issued share
capital of the Company.
