DIAGONAL PLC

LISTING APPLICATION

Diagonal PLC ('Diagonal') has made application to the UK Listing Authority and
the London Stock Exchange for the admission to listing of 996,956 ordinary
shares of 10p each. These new ordinary shares are being issued in satisfaction
of part of the deferred consideration for the acquisition of Interop
Technologies Limited. It is expected that admission will become effective, and
that dealings in the new ordinary shares will commence, on 19 February 2001.
