DIAGONAL PLC

LISTING APPLICATION

Diagonal PLC ('Diagonal') has made application to the UK Listing Authority and
the London Stock Exchange for the admission to listing of 50,000 ordinary
shares of 10p each. These new ordinary shares are being issued and allotted to
the Diagonal Qualifying Employee Share Ownership Trust (the 'QUEST') to enable
the QUEST to satisfy options exercised under the Diagonal PLC 1997
Savings-Related Share Option Scheme. It is expected that admission will become
effective and that dealings in the new ordinary shares will commence on 10 May
2001.
