DIAGONAL PLC ('Diagonal' or the 'Company')

Applications have been made to the UK Listing Authority and to the London Stock
Exchange for admission to i) the Official List and ii) trading on the London
Stock Exchange's markets for listed securities for the listing of 494,383
ordinary shares of 10p each in the Company to be issued to the Trustee of he
Diagonal Employee Benefit Trust pursuant to the Company's Long Term Incentive
Scheme. It is expected that admission will become effective and dealings will
commence on 28 March 2002.
