                                AGM STATEMENT





The Chairman of The Roxboro Group PLC, the international specialist electronic
measurement and lighting group, Sir Alan Cockshaw, has today made the
following statement on current trading at the Company's AGM:



'I am pleased to say that Roxboro's performance in the first quarter was ahead
of the same period last year, despite some difficult conditions for Dialight's
sales in the telecommunications sector, which are continuing into the second
quarter. Sales into the growing market for electronic lighting modules for
traffic signals continue to grow strongly and the recovery in the energy
sector is also being maintained.



Overall, the Board remains confident that Roxboro will continue to make
progress this year.'
