                             REDEMPTION OF B SHARES

The Roxboro Group PLC (the 'Company') announces that 118,559 of the redeemable
non-cumulative preference shares of 75 pence each in the capital of the Company
('B Shares') were redeemed on 30 June 2004. Accordingly, a total of 53,522,900 B
Shares, representing 94.2 per cent. of the B Shares originally in issue, have
now been redeemed in accordance with the terms and conditions attaching to the B
Shares. The Company may, at its discretion, redeem the remaining 3,277,270 B
Shares at any time and will be obliged to do so not later that 31 December 2008.

Payment on the B Shares redeemed on 30 June 2004 will be settled through the
CREST system or, for certificated holders, cheques will be despatched, no later
than 7 July 2004.
