                              CHAIRMAN'S STATEMENT


At this morning's Annual General Meeting of Diagonal PLC, the Chairman, Mark
Samuels will say:

'The sales pipelines and the forward load remain strong.  Both the Consulting
and Secure Networks Divisions continue to feel the effect of slower conversion
rates, which are presently the norm in most businesses.

It is pleasing to report that the improved gross margins in Secure Networks,
which were being achieved at the end of last year, have been maintained and that
the SAP consulting business is winning new contracts in accordance with plan.

Current trading is in line with expectations and the Board re-iterates its
cautious optimism for the full year.'
