Options under the Dialight plc 2014 Performance Share Plan ("PSP")
On 1 9 M a y 2 0 2 1 , and following t h e conclusion o f t h e Company's 2 0 2 1 Annual General M e e t i n g at which the Company's 2021 Remuneration Policy was approved, Fariyal Khanbabi, Group Chief Executive Officer and Executive Director, was granted a restricted share award which entitled her to receive 89,547 ordinary shares of 1.89 pence each in the Company in accordance with the rules of the Dialight PLC 2014 Performance Share Plan .
The award will normally vest on the third anniversary of grant subject to continued employment at the date of vesting, and provided that the Remuneration Committee is satisfied that the underlying performance of the Company justifies the vesting. No other performance metrics will apply.
No consideration was paid for the grant of this award and no consideration is due to be paid by Fariyal Khanbabi on the vesting of the award. On vesting, options will be exercisable between 19 May 2024 and 19 May 2026. A mandatory two-year post-vesting holding period applies to the award.
