                                  Board Changes


At a Board meeting held yesterday, Allan Robb was appointed to the Board as
Group Managing Director and Charles Packshaw was appointed as a non-executive
director. Both appointments were made with immediate effect.

Allan Robb, who joined the Group in a senior operational role in December 2001
having previously been a partner of KPMG Consulting, will report to Graham
Creswick, Group Chief Executive.

Charles Packshaw is a Managing Director of Lazard.

At the Annual General Meeting held yesterday, David Caruth and Victor Tuffield
retired as non-executive directors of the Company.

Mark Samuels, Chairman of Diagonal, commented:

considerable contribution to Diagonal over the years. I am pleased to announce
Allan Robb's progression to the Board and it is the Board's belief that Allan
