DIAGONAL plc ('the Company')

The Company has made application to the London Stock Exchange for the
admission to listing of 570,959 ordinary shares of 10p each, alloted to the
Company's qualifying employee ownership trust ('Quest'), to be used to satisfy
option exercises in due course under the DIAGONAL plc May 1997 Three Year
Savings Related Share Option Scheme and the DIAGONAL plc May 1997 Five Year
Savings Related Share Option Scheme.

Some of the Directors of the Company, Mark Samuels, Vic Tuffield, Colin
Burnside, Chris Chittock and David Beresford, are potential beneficiaries
under the Quest and therefore are deemed interested in the shares held by the
Quest.
