                                 BOARD CHANGE

The Roxboro Group PLC, the international specialist electronic measurement and
lighting group, announces the following Board change.

As noted in the 2000 Annual Report and Accounts and in accordance with the
Articles of Association, Mr Lindsay Bury will retire as a non-executive
director at the Annual General Meeting. Mr Bury has decided that he will not
be standing for re-election.

The Company wishes to express its gratitude for his contribution to the Board
and the Company over the past seven years.
